L&T Technology Services (LTTS) on Thursday said it will sell its Smart World and Communication (SWC) division to AMI Paradigm Solutions as part of its five-year strategy to refocus on AI-led digital and engineering capabilities.

The transaction, valued at Rs 452 crore, will be executed on a slump sale basis, subject to adjustments for working capital, net debt and other conditions. It is expected to close on or before September 30, 2026.

AMI Paradigm Solutions is a special purpose entity set up by ParadigmIT Technology Services Private Limited, focused on advancing AI for public systems and critical infrastructure, the company said in a stock exchange filing.

Under the business transfer agreement, the buyer will be a joint venture between ParadigmIT and AM Intelligence Labs Private Limited, promoted by the founders of the Greenko Group.

The divestment comes as LTTS sharpens its focus on manufacturing, industrial and technology-led enterprise segments, pivoting to engineering intelligence (EI) under its five-year Lakshya plan.

“As we pursue long-term value creation for our stakeholders, we are reframing our strategic bets, with EI, software and digital manufacturing as key focus pillars in our select segments of mobility, sustainability and tech. We believe these will drive faster growth opportunities for LTTS,” said Amit Chadha, chief executive and managing director at L&T Technology Services.

The SWC unit, which includes the smart and safe and communications segments along with related contracts, intellectual property and employees, generated revenue of Rs 1,027.95 crore in FY25.

This accounted for 9.63% of LTTS’ consolidated revenue and had a net worth of Rs 445.89 crore, or 7.31% of the company’s net worth.

“Advances in clean energy, high-performance computing infrastructure and accelerator chipsets are unlocking unprecedented AI compute power,” said Anil Chalamalasetty, chairman, AM Group. “The real transformation, however, lies in translating this foundation into domain-specific intelligence and real-world applications. The Smart World & Communication business represents this critical layer.”

Sridhar Gadhi, promoter of ParadigmIT, said with the coming together of ParadigmIT and the Smart World business, “we would be building an AI-led platform focused on domain-specific models, sovereign AI architectures and outcome-driven systems for governments and enterprises”.
